Orchflow Terms of Service

Last updated: 30 August 2026

1. Agreement

By accessing or using orchflow.io, app.orchflow.io, or any Orchflow service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms incorporate our Privacy Policy by reference: orchflow.io/privacy

2. The Service

Orchflow is a managed data preprocessing service. We define a set of preprocessing steps; you submit job requests (via API or UI) specifying a dataset and the steps to apply, in the order you choose, and receive processed output in return.

Current status: Orchflow is in pre-launch. The public site collects only a waitlist signup (name of organisation and email address). The application interface (app.orchflow.io) is not yet publicly available and is being demonstrated on a private, access-gated basis. Nothing on the current site constitutes a live, production data-processing service, and no service commitments in these Terms take effect until an account is provisioned and the Service is made available to you.

3. Eligibility

You must be at least 18 years old and using the Service in a business or professional capacity to use Orchflow. By using the Service, you confirm you meet this requirement and have authority to bind the organisation you represent, if applicable.

Orchflow is currently offered to organisations in New Zealand, with expansion planned to other markets. There is no hard geographic restriction on who may join the waitlist.

4. Waitlist and Accounts

Waitlist (current state)

If you join the waitlist, we collect your name, organisation name, and email address to notify you about Orchflow's availability. You may ask to be removed at any time by emailing us (see Section 18) or using the removal link in your confirmation email.

Accounts (once live)

When account access is provisioned, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use. You agree to provide accurate registration information.

5. Acceptable Use

You will not:

  • Submit data you do not have the legal right to process, including data submitted in violation of a third party's privacy rights or applicable data protection law

  • Submit illegal content, malware, or data intended to disrupt or exploit the Service

  • Attempt to bypass job quotas, rate limits, sandboxing, or security controls

  • Reverse engineer, decompile, or attempt to extract the underlying preprocessing agent or infrastructure

  • Use the Service to process data in a way that violates the rights of individuals whose data is contained in your datasets (e.g., without a lawful basis under applicable privacy law)

  • Attempt unauthorized access to another customer's jobs, data, or output

We may investigate suspected violations and suspend or terminate access for breach of this section.

6. Your Data

  • You retain all ownership rights in the datasets you submit ("Your Data").

  • You grant Orchflow a limited, non-exclusive license to process Your Data solely to execute the preprocessing steps you select and return the output to you.

  • Processing occurs in sandboxed, resource-limited environments. Custom Python execution steps (where offered) run without network access.

  • We do not use Your Data to train any model or for any purpose other than fulfilling your job request.

  • Retention: input datasets and output files are retained for a limited period after job completion, then deleted, unless you request earlier deletion.

  • You warrant that you have the right to submit Your Data and that doing so does not violate any third party’s rights or applicable law (including data protection law governing any personal data contained in Your Data).

7. Processed Output

  • You own the output Orchflow produces from Your Data and may use it for any lawful purpose.

  • Output download links are single-use, time-limited signed URLs. You are responsible for downloading output before the link expires and for securing it once downloaded.

  • You are responsible for validating that processed output meets your requirements before relying on it downstream (e.g., in model training or production pipelines).

8. Service Availability (Pre-Launch / Beta)

The Service, while in pre-launch, private-demo, or early-access status, is provided without any uptime commitment or service-level agreement. We may change, suspend, or discontinue features at any time without notice. Once Orchflow moves to a paid, generally available offering, service-level terms (if any) will be set out in a separate order form or SLA.

9. Third-Party Infrastructure

Orchflow relies on third-party infrastructure providers to operate the Service, including but not limited to Hetzner (application and API hosting), Cloudflare (DNS), Vercel (landing page hosting), and Zoho Mail and Resend (account and transactional email).

These providers may process data (including Your Data, where applicable to job execution) as our sub-processors under their own terms and security practices. The list above is the current, complete list of sub-processors; we will update this section if that changes.

10. Fees

Orchflow is currently offered free of charge during the pre-launch and early-access period. Pricing for general availability will be communicated separately, and no fees will be charged without your agreement to specific pricing terms in advance.

11. Intellectual Property

Orchflow owns all rights in the Service, including the preprocessing agent, orchestration platform, API, website, branding, and documentation. Nothing in these Terms grants you rights to Orchflow's intellectual property beyond the limited right to use the Service as intended. Your Data and your processed output are excluded from this and remain yours (Sections 6 and 7).

12. Termination and Data Deletion

  • We may suspend or terminate your access for breach of Section 5 (Acceptable Use) or non-payment (once fees apply).

  • You may stop using the Service at any time.

  • Waitlist data: if you’ve joined the waitlist, you can remove your email and organisation name yourself at any time using the link in your confirmation email — no need to contact us.

  • Account and job data (once the app is live): Orchflow does not yet offer self-service deletion of account data, submitted datasets, or job history. To request deletion, email us at the address in Section 18. We will complete deletion requests within 30 days. Self-service deletion for account data is planned for a future release.

  • Sections that by their nature should survive termination (7, 11, 13, 14, 15, 16) continue to apply.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ORCHFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT PROCESSED OUTPUT WILL BE FREE OF ERRORS.

14. Limitation of Liability

To the maximum extent permitted by law, Orchflow will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business opportunity, arising from use of the Service.

Orchflow's total liability arising from these Terms or use of the Service is limited to the greater of (a) fees you paid Orchflow in the 12 months preceding the claim, or (b) NZD $1,000.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent the law permits, and the above limitations may not fully apply to you.

15. Indemnity

You agree to indemnify and hold Orchflow harmless from claims, damages, and reasonable legal costs arising from: (a) Your Data, (b) your use of processed output, (c) your breach of these Terms, or (d) your violation of any third party’s rights or applicable law.

16. Governing Law and Venue

These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles. Disputes will be brought exclusively in the courts of Wellington, New Zealand.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active users by email.
